By accessing or using the OneManage Platform (“Platform”), you agree to be bound by these Terms of Service (“Terms”). These Terms constitute a legal agreement between you (“User,” “Customer,” or “you”) and Morakot PTE., (“Company,” “we,” or “us”), governing your use of the Platform and the services provided through it.

The OneManage Platform provides Human Resource (HR) and Accounting solutions tailored to businesses operating in Cambodia. These Terms are designed to comply with applicable Cambodian laws and regulations.

1. Acceptance of Terms

By accessing, registering for, or using the Platform, you agree to comply with these Terms, the Privacy Policy, and any other policies or guidelines provided by the Company. If you do not agree, you must not access or use the Platform.

2. Eligibility

The Platform is intended for use by businesses legally registered in Cambodia and their authorized representatives. By registering, you confirm that:

• You are at least 18 years old.
• You have the authority to bind your organization to these Terms.
• Your use of the Platform complies with Cambodian laws and regulations.

3. User Accounts

3.1. Account Creation

To use certain features of the Platform, you must create a User Account by providing accurate and complete information. You agree to keep your login credentials confidential and to notify us immediately of any unauthorized access.

3.2. Account Suspension/Termination

We may suspend or terminate your account at our discretion if:

• You violate these Terms.
• There is suspicion of fraudulent, abusive, or unlawful activity.
• Your account remains inactive for an extended period.

4. Services Provided

The Platform offers:

• HR Solutions: Including employee management, payroll processing, leave management, and compliance with Cambodian labor laws.
• Accounting Solutions: Including bookkeeping, invoicing, financial reporting, and tax compliance aligned with Cambodian regulations.

The Company reserves the right to modify or discontinue any service without prior notice.

5. Use of the Platform

5.1. Permitted Use

You may use the Platform solely for lawful purposes in connection with your business operations.

5.2. Prohibited Activities

You must not:

• Use the Platform for any fraudulent or illegal purpose.
• Interfere with or disrupt the functionality of the Platform.
• Copy, distribute, or reverse-engineer the Platform's software or features.

6. Fees and Payments

6.1. Subscription Fees

Some features may require payment of subscription fees. Fees will be communicated clearly during registration or prior to using specific features.

6.2. Payment Terms

You agree to pay all fees on time as per the agreed-upon payment method. Late payments may result in suspension of services.

6.3. Taxes

All fees are exclusive of any applicable taxes, which are your responsibility to pay as required by Cambodian tax laws.

7. Confidentiality and Data Usage

The Company will handle your data in accordance with our Privacy Policy and Cambodian laws, including the Law on Electronic Commerce and other data protection regulations.

8. Intellectual Property

The Platform, including all software, features, and content, is owned by the Company or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, or use any part of the Platform except as expressly permitted under these Terms.

9. Limitation of Liability

To the extent permitted by Cambodian law:

• The Company is not liable for any indirect, incidental, or consequential damages arising from your use of the Platform.
• Our total liability for any claim relating to the Platform shall not exceed the amount paid by you in the past six months.

10. Termination

You or the Company may terminate these Terms at any time. Upon termination:

• Your right to access and use the Platform ceases immediately.
• You must delete any confidential information or materials obtained through the Platform.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Kingdom of Cambodia. Any disputes shall first be resolved through mutual negotiation. If unresolved, disputes may be submitted to arbitration under the rules of the Cambodian Arbitration Council.

12. Changes to Terms

The Company may update these Terms from time to time. Changes will be communicated through the Platform, and your continued use constitutes acceptance of the updated Terms.
